I GENERAL PROVISIONS<\/p>\n\n\n\n

1.1. Mittetulundus\u00fching \u201cSa Suudad\u201d<\/strong> (edaspidi \u00fching) on avalikes huvides tegutsev \u00fcleeestiline mittetulundus\u00fching, kes juhindub oma tegevuses Eesti Vabariigi \u00f5igusaktidest ning mille eesm\u00e4rgiks on ennetada ning v\u00e4hendada riskik\u00e4itumist noorte hulgas. Organisatsioon on heategevuslik \u00fching ning tegutseb avalikes huvides.<\/p>\n\n\n\n

1.2. The name of the organization is the Non-Profit Organization \"Sa Suudad,\" and its location is Tallinn.<\/p>\n\n\n\n

1.3. The organization is an independent entity and is not a section of any other organization. <\/p>\n\n\n\n

1.4. \u00dchingu eesm\u00e4rgi saavutamiseks on \u00fchingu p\u00f5hitegevusteks toetada noori, kellel on keeruline ehk kellel esineb v\u00f5i on esinenud riskik\u00e4itumist. Samuti toetada nende peresid ja t\u00e4iskasvanuid, kes noori igap\u00e4evaselt \u00fcmbritsevad.

Pakume tuge valdkondade \u00fcleselt h\u00f5lmates oma tegevuses nii sotsiaalt\u00f6\u00f6 kui noorsoot\u00f6\u00f6 tegevusi. \u00dchingu eesm\u00e4rgi saavutamiseks teostatakse muuhulgas tegevusi nagu:<\/p>\n\n\n\n

– noorte ja t\u00e4iskasvanute toetamine ja vajadusel n\u00f5ustamine, nii individuaalselt kui grupis;
– noorte kaasamine ja osaluse edendamine, sh noorte huvide, vajaduste ja arvamustekogumine ning esitamine avalikkuses ja asutustega suheldes;
– sihtr\u00fchma \u00f5iguste ja huvide kaitsmine;
– noorte vaba aega sisustavate tegevuste elluviimine;
– erinevate \u00fchingu eesm\u00e4rke toetavate projektide ja programmide arendamine ja l\u00e4biviimine;
– koolituste ning t\u00f6\u00f6tubade l\u00e4biviimine, sh konsultatsioonide pakkumine;
– ennetus- ja teavitust\u00f6\u00f6;
– \u00fchingu eesm\u00e4rkidest tulenevate koost\u00f6\u00f6suhete arendamine teiste tegutsevate avaliku ja erasektori ning vabakonna organisatsioonidega;
\u2013 ja muud vajalikud tegevused, mis aitavad ennetada ja leevendada noorte riskik\u00e4itumist.<\/p>\n\n\n\n

II PROCEDURE AND CONDITIONS FOR ADMISSION, WITHDRAWAL, AND EXPULSION OF MEMBERS<\/p>\n\n\n\n

2.1. Any natural or legal person who meets the membership requirements, agrees with the organization's goals, wishes to engage in activities in accordance with those goals, and agrees to comply with the organization's charter as well as the decisions of the general meeting and the board may join the organization.<\/p>\n\n\n\n

2.2. \u00dchingu liikmeks saada soovija peab esitama kirjaliku avalduse juhatusele, kes hiljemalt \u00fche kuu jooksul arvates avalduse saamisest teeb liikmeks vastuv\u00f5tmise v\u00f5isellest keeldumise otsuse ning teeb selle teatavaks avalduse esitanud isikule.<\/p>\n\n\n\n

2.3. If there is a membership fee, the individual wishing to join the organization must pay the membership fee for the current fiscal year to the organization's account.<\/p>\n\n\n\n

2.4. If there is a membership fee, all members of the organization are required to pay it. The decision regarding the amount of the membership fee is included in the agenda of the general meeting.<\/p>\n\n\n\n

2.5. All members of the organization may withdraw from the organization based on a written application.<\/p>\n\n\n\n

2.6. The board of the organization may expel a member whose actions it assesses as contrary to the organization's objectives or in violation of the charter, who harms the name or reputation of the organization through their actions, who has failed to fulfill an obligation arising from the charter or imposed by the organization's bodies, and who has not participated in any general meeting or events organized by the organization during the fiscal year.<\/p>\n\n\n\n

2.7. A member who has not paid the membership fee for the current fiscal year may be expelled from the organization by a decision of the board.<\/p>\n\n\n\n

2.8. The board of the organization shall promptly inform the expelled member of the decision to expel them and the reason for it. The expelled member has the right to present the matter for review at the general meeting.<\/p>\n\n\n\n

III RIGHTS AND OBLIGATIONS OF MEMBERS<\/p>\n\n\n\n

3.1. Members of the organization have the right to:\n\n- participate in the general meeting with voting rights;\n- receive information about the organization's activities;\n- withdraw from the organization;\n- be elected as members of the governing body of the organization;<\/p>\n\n\n\n

3.2. \u00dchingu liikmetel on kohustus:- j\u00e4rgida \u00fchingu tegevuses osalemise p\u00f5hikirja ning \u00fcldkoosoleku ja juhatuse otsuseid;- teatada \u00fchingu juhatusele \u00fchingu liikmete arvestuse pidamiseks oma kehtivadkontaktandmed;- tasuda \u00fchingu liikmemaksu kui see on kehtestatud.<\/p>\n\n\n\n

IV GENERAL MEETING<\/p>\n\n\n\n

4.1. The highest body of the organization is the general meeting, where each member has one vote.<\/p>\n\n\n\n

4.2. \u00dcldkoosoleku p\u00e4devus:- \u00fchingu p\u00f5hikirja muutmine;- \u00fchingu eesm\u00e4rgi muutmine;- \u00fchingu p\u00f5hitegevus(t)e muutmine;- \u00fchingu liikmemaksu sisseseadmise ja suuruse kehtestamine;- juhatuse liikmete m\u00e4\u00e4ramine ja tagasikutsumine;- juhatuse v\u00f5i muu organi liikmega tehingu tegemise v\u00f5i tema vastu n\u00f5udeesitamiseotsustamine ja selles tehingus v\u00f5i n\u00f5udes seltsi esindaja m\u00e4\u00e4ramine- \u00fchingulekuuluvate kinnisasjade ja registrisse kantavate vallasasjade v\u00f5\u00f5randamisejaasja\u00f5igustega koormamise otsustamine ja tingimuste m\u00e4\u00e4ramine nimetatudtehinguteks- otsustada \u00fchingu astumise teistesse mittetulundus\u00fchingutesse jm.organisatsioonidesse- otsustada \u00fchingu tegevuse reorganiseerimise ja l\u00f5petamise;- otsustada muude k\u00fcsimuste \u00fcle, mida ei ole seaduse v\u00f5i p\u00f5hikirjaga antud teisteorganitep\u00e4devusse.<\/p>\n\n\n\n

4.3. MT\u00dc \u00fcldkoosoleku kutsub kokku juhatus v\u00e4hemalt korra aastas.<\/p>\n\n\n\n

4.4. \u00dcldkoosoleku aja, koha ja p\u00e4evakorra m\u00e4\u00e4rab juhatus ning teeb selle teatavaks massiteabevahendite, samuti isiklike kutsete kaudu hiljemalt 7 p\u00e4eva enne koosoleku toimumist.<\/p>\n\n\n\n

4.5. The general meeting is quorate if more than half of the members of the organization are present. <\/p>\n\n\n\n

4.6. Decisions of the general meeting are adopted if more than half of the members present at the meeting vote in favor. If at least 50% of the members are not represented at the general meeting, the board shall convene a new general meeting with the same agenda no earlier than three weeks and no later than three months afterward. The new general meeting is competent to make decisions regardless of the number of members present.<\/p>\n\n\n\n

V BOARD OF THE ORGANIZATION<\/p>\n\n\n\n

5.1. The daily operations of the organization are managed by the board, which represents the organization. The board consists of 1 to 3 members.<\/p>\n\n\n\n

5.2. The competencies of the board include:\n\n- organizing the daily activities of the organization;\n- maintaining membership records and collecting membership fees;\n- preparing the activity plan and budget of the organization;\n- preparing the annual report and organizing accounting;\n- using and managing the organization's assets in accordance with the law, this charter, and the requirements arising from the decisions of the general meeting.<\/p>\n\n\n\n

5.3. The general meeting elects the board members from among the organization's members. A board member is elected if more than half of the members present or represented at the general meeting vote in favor. The board is elected for a term of five years.<\/p>\n\n\n\n

5.4. The board represents the organization in all legal transactions.<\/p>\n\n\n\n

5.5. Each board member can represent the organization in all legal transactions individually.<\/p>\n\n\n\n

5.6. A board meeting is convened by the chairperson of the board, their deputy, or at least 1\/3 of the board members.<\/p>\n\n\n\n

5.7. The board is quorate if more than half of its members are present.<\/p>\n\n\n\n

5.8. The board can make decisions without convening a meeting if all board members vote in writing in a manner that allows for reproduction of the decision.<\/p>\n\n\n\n

5.9. The convenor of the board meeting has the right to invite necessary experts or consultants to attend the meeting at their discretion, who shall have the right to speak.<\/p>\n\n\n\n

VI ECONOMIC ACTIVITIES<\/p>\n\n\n\n

6.1. The financial year of the organization runs from January 1 to December 31. The report on the economic activities for the previous year must be made available to members for review no later than two weeks before the organization's annual meeting.<\/p>\n\n\n\n

VII MERGER, DIVISION, LIQUIDATION<\/p>\n\n\n\n

7.1. The merger, division, and liquidation of the organization shall occur in accordance with the procedures established by law. <\/p>\n\n\n\n

7.2. The liquidators of the organization shall be the board members or individuals appointed by the general meeting.<\/p>\n\n\n\n

7.3. Upon the dissolution of the organization, any remaining assets, after satisfying the claims of creditors, shall be transferred to a member from the list of non-profit organizations and foundations with tax exemptions, or to a public legal entity, including the state or a local government unit.<\/p>\n\n\n\n
